If a tenant is being replaced during a Singapore lease, establish what document the parties are signing. A novation, a new lease and a variation of the existing lease can have different stamp-duty consequences. IRAS’s lease guidance says that for a novation between an incoming and outgoing tenant, stamp duty is chargeable on the consideration, if any, at Buyer’s Stamp Duty rates.
Check what any payment is for. Keep rent, a refundable deposit, reimbursement and any payment for taking over the lease on separate lines. If the document combines changes to the tenant, rent or term, ask IRAS or your adviser how the actual agreement should be treated.
- Gather the original lease and all proposed documents.
- Identify who is leaving, who is joining and the effective date.
- Record each payment and its purpose.
- Verify the applicable stamping route and liable party.
- Check occupancy approval independently where required.

Identify the transaction before calculating
Open IRAS’s Renting a Property guidance. Look at the separate sections for novation, variation and surrender. Ask whether the existing lease is being transferred through an agreed replacement or whether the parties are ending it and signing a fresh lease. Use the signed documents and what the parties have agreed, including any change to rent and duration.
| Item | What to verify | Why it matters |
|---|---|---|
| Original lease | Parties, remaining term and relevant clauses | Establishes the starting arrangement |
| Replacement document | Incoming and outgoing tenant, consent and effective date | Identifies the change to review |
| Payments | Who pays whom and what the amount is for | Helps establish whether there is consideration |
| Other changes | New rent, term or separate agreement | May raise another stamping question |
| Housing approval | Applicable HDB or other requirements | Separate from IRAS stamping |
Use IRAS’s stamp duty digital services and its guidance on who pays. If a payment’s nature is unclear, give IRAS or your adviser the complete documents. Avoid combining every payment into one figure without identifying what it represents.

Worked example with a replacement and a deposit
An outgoing tenant and a replacement are negotiating a transfer with the landlord. The incoming tenant will pay a refundable deposit under the agreed arrangement and has also discussed a separate amount with the outgoing tenant. Before signing, the parties write down both amounts and their purposes. They ask which is relevant to the novation and how to use the official stamping process. They also record the departure and handover dates separately.
If the property is an HDB rental, the owner checks HDB’s approval and record update requirements before the replacement moves in. A tax record does not replace the housing approval.

Frequently asked questions
Does a tenant replacement always mean a new lease?
Check what the parties have agreed to sign. The document could be a novation or a new tenancy, and the facts matter.
Can I use the original Stamp Certificate for the change?
Keep the original certificate with its agreement. Check whether the new document has its own stamping requirement.
